I wanted to clear some things up over writing since it is sometimes easier to express myself in written words rather than spoken ones.
Up until recently, I had grown to hate you since our meeting at that coffee shop in 2014. On the day we met for coffee to discuss our company’s future, two terrible things happened: my close friend’s mother passed away and you expressed your ugly view of entrepreneurship.
I remember that day when I came to you for help and you told me that I’d “never make as much money as [other small company] in my life” as well as how you thought that I was “feeling entitled, while you had suffered” to get where you are now. You also told me how “none of the [XCombinator] companies had ever complained about your agreement until now.” Well let me tell you, they did not know any better.
I made a mistake trusting you. You made it very clear that day in the coffee shop that your interest lies with yourself. As you started up [a solar tech company] in front of that same friend’s face after he and I were talked out of working on a solar energy concept by you during [XCombinator] just a few months prior, your character became clearer to other former cadets.
I went to speak to some of the people you called your “friends” because I began to question your ethics. What I found out made me sick. You convinced your entourage to sign [XCombinator] documents under a set of terms that you changed behind their backs to benefit from personally off of the backs of future “cadets”. You planned to invest little to no time or money in the young smart individuals who would come meet your empty promise of entrepreneurship desperately aspiring to innovate an entrepreneurial path. Did you honestly expect that exciting cadets through binge-drinking and parties would lead to a success with one of them that would put you on the map as founder of the new YC of the west? After speaking to [a rich guy], it is clear that he was your puppeteer through [first startup of MOL].
I have steered clear from you and so have most of your graduated “cadets” who eventually discovered the true meaning of being a cadet: clearly and desperately eager to succeed. We have all quietly tried to kill the naïveté that led us to your [XCombinator] and washed our mouths of the sour taste of dealing with a man who would do just about anything for the spotlight.
But now, I am ready to flip my experience with you into fuel for good. I will take the catastrophic experience of [XCombinator] and boil it down to fuel to create positive things in this world. I understand [XCombinator] is an experiment, but so became [my first startup]. We live and learn. I hope to ultimately improve the way I make things happen despite the overwhelming negativity that often surrounds us.
A new beginning requires that wrongs are made right. You have violated your fiduciary duty to [my first startup] by claiming to protect the minority interests from nefarious acts of the majority with a non-dilution clause, which is in direct violation of the interests of [the startup] itself. All companies that have graduated from [XCombinator] and signed this agreement will testify to this violation of their interests in a court of law and are prepared to file a class action lawsuit against you and the [XCombinator]. The flagrant evidence is in the following disclosure you made:

I talked to several of the other investors, lawyers and mentors with whom own equity in all the [XCombinator] companies and they have made it clear that re-negotiating the non-dilution is not possible.  Non-dilution is crucial aspect common in the incubator business model.  All the top incubators in the country have such provisions and from my personal experience it is very common.  The millions of dollars I’ve personally raised all had non-dilution components.  It is meant to protect minority investors from nefarious acts from majority holders.
